AGREEMENT

The parties hereby agree as follows:

1. Scope: This Agreement governs work performed in a collaborative research project described in the PROJECT PLAN. The parties understand that the PROJECT PLAN is the basis for a separate submission of a grant application by the INSTITUTION to NIH, and that this Agreement will not be in force and effect until such time as INSTITUTION and NIH have executed the NIH Notice of Grant Award. This Agreement and the Project Plan shall be consistent with the terms and conditions of the NIH Award. MATERIALS and COMPANY SUPPORT.
